1. Scope of Services

Buzzify Nigeria provides strategic digital marketing services, including but not limited to:

  • Social Media Management
  • Content Creation
  • Mobile Videography
  • Digital Marketing Consultation
  • Training and Capacity Building
  • Creative Studio Services

All services are executed based on separate, individual Service Agreements or Statements of Work (SOW) signed by the Client.

2. Client Responsibilities

To ensure we build meaningful connections for your brand, you agree to:

  • Provide accurate, complete, and timely information and materials (logos, brand guidelines, data) necessary for campaign execution.
  • Guarantee that all materials provided do not infringe on any third-party intellectual property rights.
  • Maintain the security of any account credentials provided to us for platform management.

3. Fees, Billing, and Payments

  • Payment Terms: Clients agree to pay all fees specified in their individual SOW or Service Agreement according to the agreed-upon schedule (e.g., monthly retainers, project-based milestones).
  • Late Payments: Failure to make timely payments may result in the immediate suspension of marketing campaigns and services.
  • Refunds: Due to the nature of digital marketing services and upfront resource allocation, all fees paid are non-refundable unless explicitly stated otherwise in a specific Service Agreement.

4. Intellectual Property

  • Our Property: We retain all rights, titles, and interests in our proprietary tools, methodologies, templates, and pre-existing materials used to deliver the Services.
  • Your Property: The Client retains ownership of all pre-existing trademarks, copyrights, and content provided to us.
  • Final Deliverables: Upon full and final payment of all outstanding invoices, ownership of the final creative deliverables designed specifically for the Client will transfer to the Client, subject to any third-party licensing restrictions.

5. Guarantees and Limitation of Liability

  • No Guarantees on Performance: While our core mission is to increase your brand’s visibility and build authentic engagement, digital marketing outcomes depend heavily on third-party algorithms (Meta, TikTok, etc.) and market variables. We do not guarantee specific follower counts, sales metrics, or exact ranking positions.
  • Limitation of Liability: To the maximum extent permitted by law, Buzzify Nigeria shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, data, or brand reputation arising out of the use or inability to use our Services.

6. Confidentiality

Both parties agree to keep all non-public, proprietary information, business strategies, and data exchanged during the course of the partnership strictly confidential. This obligation extends beyond the termination of our services.

7. Termination

  • By Either Party: Either party may terminate a service agreement by providing written notice as specified in the individual SOW (typically 30 days’ notice).
  • By the Company: We reserve the right to terminate services immediately if the Client violates these Terms, engages in illegal practices, or fails to make required payments.

8. Changes to These Terms

We reserve the right to update or modify these Terms at any time without prior notice. The “Updated” version of this page will reflect the most recent changes. Continued use of our website or services constitutes acceptance of the revised Terms.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Abuja, Nigeria, without regard to its conflict of law provisions.
